Pho enix Group Holdings plc - Board Changes

The Board of Phoenix Group Holdings plc ("Phoenix Group" or "the Group") is pleased to announce the appointment of Katie Murray as Chair of the Board Audit Committee, with effect from 1 September 2022, subject to regulatory approval.

Ms Murray joined the Board as an independent Non-Executive Director on 1 April 2022, bringing strong finance and accounting skills and knowledge to the Group, in addition to a breadth of experience gained from senior executive roles in the banking and insurance sectors.

Ms Murray will replace Alastair Barbour as Chair of the Board Audit Committee upon his appointment as interim Chairman from 1 September (as announced in February this year).

Commenting on Ms Murray's additional appointment, Nicholas Lyons, Phoenix Group Chairman, said: "I am very pleased that Katie will be assuming the role of Board Audit Committee Chair in September. As the Group Chief Financial Officer of the NatWest Group, and having held senior executive financial roles, Katie will bring great insight to the work of the committee having operated alongside a number of Audit Chairs during her career. This is a key role within the Group and I have no doubt that Katie will provide great leadership for the committee."

In addition, the Group Board is pleased to announce the appointment of Maggie Semple as the Group's Designated Non-Executive Director for Workforce Engagement, with effect from 1 July 2022.

Ms Semple joined the Board as an independent Non-Executive Director on 1 June 2022, adding a breadth of knowledge to the Group through experience as a Non-Executive Director in a number of different organisations, such as Her Majesty's Court Service, the Criminal Cases Review Commission, the Ministry of Justice (Chair of Audit, Risk & Compliance) and McDonald's Restaurants. She has a passion for sustainability, ethics and inclusivity.

Ms Semple will replace Karen Green as the Group's Designated Non-Executive Director for Workforce Engagement following Ms Green's appointment as the Board Senior Independent Director on 5 May 2022, subject to regulatory approval.

Nicholas Lyons, Phoenix Group Chairman, commenting on Ms Semple's appointment said: "The role of the Group's Designated Non-Executive Director for Workforce Engagement provides a critical link between the Board and our Phoenix colleagues, ensuring we stay connected throughout the year. I am pleased that Maggie will be taking on this important position and trust that she will be a beacon of engagement for colleagues. I would like to thank Karen for her service as our Designated Non-Executive Director for Workforce Engagement to date."

This announcement is made in accordance with the requirements under Listing Rule 9.6.11R.
