Results of placing
The Board of Picton is pleased to announce the successful completion of the placing launched earlier today (the "Placing"), which was oversubscribed.
A total of 22,228,426 new ordinary shares of no par value in the Company (the "Placing Shares") have been placed, subject to Admission, by J.P. Morgan Cazenove and Oriel Securities (together, the "Joint Bookrunners"), at a price of 53.5p per share, raising gross proceeds of approximately £11.9m. The Placing Shares represent approximately 6.2% of the issued ordinary share capital of the Company prior to the Placing.
The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares of Picton Property Income Limited. This includes the right to receive all dividends and other distributions declared or paid in respect of such ordinary shares after the date of Admission of the Placing Shares.
Application will be made for the Placing Shares to be admitted to the premium segment of the Official List of the Financial Conduct Authority (the "FCA") and to trading on the main market for listed securities of the London Stock Exchange and the CISX (together, "Admission"). It is expected that Admission will take place at 8.00am on 2 December 2013 (or such later date as may be agreed between the Company and the Joint Bookrunners).
Following Admission, the number of ordinary shares that the Company has in issue will be 379,869,729. The total number of voting rights of the Company will be 379,869,729 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
