Notification of Transaction of PDMRs

Playtech plc (the "Company")

Grant of Awards under the Company's Performance Share Plan

On 17 December 2015 the Company's executive directors and other persons discharging managerial responsibilities were granted nil cost option awards over ordinary shares of no par value under the Playtech Long Term Incentive Plan 2012 (the "Plan") as noted below:

Awards made under the terms of the Plan and which subsequently vest, will be satisfied from  shares held in the Company's Employee Benefit Trust and will not result in the dilution of existing shareholders.

Subject to the terms of the Plan, the awards granted to M Weizer and R Hoffman will ordinarily vest and become exercisable as from 1 March 2018 subject to the grantee's continued service and to the extent to which earnings per share growth and total shareholder return performance criteria are met over a measurement period comprising three financial years of the Company commencing with the current financial year.

Subject to the terms of the Plan, the awards granted to the other PMDRs noted above will ordinarily vest and become exercisable as from 1 September 2016 in respect of 50% of the shares under award and as to the balance as from 1 March 2018 in each case subject to the grantee's continued service until the relevant vesting date.

Once exercisable, an award shall ordinarily remain exercisable as to its vested shares until the eve of the tenth anniversary of the grant date of the awards.

No consideration was paid for the grant of the awards and no consideration is due on the vesting and/or exercise of the awards.

The Company was notified of the above transactions on 17 December 2015.

This notification is made in accordance with DTR 3.1.4(1) (a).
