                           ANNUAL REPORT AND ACCOUNTS
                        NOTICE OF ANNUAL GENERAL MEETING


Plaza Centers N.V. ('Plaza' or the 'Company') a leading emerging markets
property developer with operations both in Central and Eastern Europe ('CEE')
and in India, is pleased to announce that the Annual General Meeting of the
Company's shareholders ('AGM') will take place on Friday June 29, 2007 at 12
noon (CET), at the Park Plaza Victoria Hotel Amsterdam, Damrak 1-5, 1012 on LG
Amsterdam, The Netherlands.

The Notice of Meeting, including proxy voting cards in English (the 'AGM
Documents') will be sent today to Plaza's shareholders and Depositary Interests
Holders registered at the Company's UK registrar (Capita Registrars).

An advertisement regarding the convening of the AGM will also be published in
the English language in two national daily newspapers published in the
Netherlands and the UK, in accordance with clause 20.5 of the Company's Articles
of Association.

Documents made available by the Company for the purpose of this AGM (including
the Company's Annual Report and Deed of Amendment of the Company's Articles of
Association) may be inspected during normal working hours at the registered
office of the Company (Keizersgracht 241, 1016 EA Amsterdam, the Netherlands).
Copies of the documents have been submitted on the Company's website:

Copies of the Company's Notice of Annual General Meeting, together with the 2006
Annual Report and Accounts, have been submitted today to the UK Listing
Authority.

The AGM Documents have been posted to shareholders and DI Holders today.
