CSS STELLAR PLC ('the Company')
DIRECTORS' INTERESTS
The Company announces that, in accordance with its intention to grant options to
certain directors as set out in the document dated 21 March 2002 relating to the
Company's proposed placing and open offer, options were granted to Sean Kelly to
subscribe for 133,500 ordinary shares of 50p each ('Shares') of which options
over 12,000 Shares have been granted pursuant to the rules of the CSS Stellar
Group Share Option Scheme ('the Approved Scheme') and the remainder pursuant to
the rules of the CSS Stellar Executive Share Option Scheme ('the Unapproved
Scheme'). Peter Owen has been granted options to subscribe for 35,000 Shares
pursuant to the rules of the Unapproved Scheme. All of the above options were
granted on 27 March 2002 with an exercise price of 249p per Share.
