CSS Stellar plc (the 'Company')
ISSUE OF SHARES
As disclosed in the Company's AIM admission document dated 6 December 2000,
part of the agreement for the Company's acquisition of CSS Holdings Limited ('
CSS Holdings') on 31 March 1999 related to the former shareholders of CSS
Holdings and the Company sharing in any increase in the aggregate value of CSS
Holdings' two freehold properties at Great Newport Street, London and Sidcup
between 1998 and the earlier of the date of disposal and 31 December 2000 (the
'Agreement').
The sale of the property in Great Newport Street, London was completed on 9
October 2000. The property in Sidcup was valued as at 31 December 2000 as
provided for in the Agreement.
Pursuant to the Agreement, the Company has issued 145,894 new ordinary shares
of 50p each at a price of 239.9p per share, being the average of the Company's
closing share price over the five business days prior to 6 March 2001 the date
of the board meeting confirming the allotment of the shares.
Application has been made for these shares to be admitted to trading on AIM
and dealings are expected to commence on 11 April 2001.
