CSS Stellar plc (the 'Company')
Acquisition of Backporch Limited ('Backporch')
Application has today been made to The London Stock Exchange for 16,400 new
ordinary shares of 50p each in the Company ('New Ordinary Shares') to be
admitted to trading on the Alternative Investment Market ('AIM').
The New Ordinary Shares are being issued to satisfy part of the consideration
for the acquisition of Backporch.
Under the terms of the acquisition agreement, the total consideration is to be
satisfied as follows:
- £76,667 in cash; and
- £40,000 by the issue and allotment, subject to admission to trading on
AIM, of the New Ordinary Shares.
Backporch hires audio and visual equipment to conferences and exhibitions as
well as to major UK sporting events. The five employees of Backporch will
relocate to the premises of ARB Audio & Visual Hire Limited, the Company's
existing audio and visual hire business, based in Banbury, Oxon.
Admission of the 16,400 New Ordinary Shares is expected and dealings are
expected to commence on 9 May 2002.
