CSS STELLAR PLC - ISSUE OF EQUITY.
CSS Stellar plc ('CSS' or the 'Company')
On 20 June 2001, the Company announced the acquisition of the GEM Group Inc. ('
GEM') (the 'Acquisition'). Application has today been made to the London Stock
Exchange for the admission to trading on AIM of 769,957 new Ordinary Shares of
50p each in the Company (the 'Ordinary Shares').
The Ordinary Shares now being admitted to trading rank pari passu with the
existing ordinary shares of 50p each in the Company and comprise two tranches
being issued to a trust representing the Canadian shareholders in GEM. These
arrangements are as agreed at the time of the Acquisition. Of the total, 705,186
Ordinary Shares form part of the initial consideration and 64,771 Ordinary
Shares comprise the trust's entitlement to deferred consideration, payable in
respect of the 2001 financial year. The Ordinary Shares are being issued and
allotted at a share price of 270p and 251.9p respectively.
Admission of the Ordinary Shares is expected and dealings are expected to
commence on 5 August 2003.
