Issue of Equity

The  Directors of Proven Growth and Income  VCT plc announce an allotment on 28
May  2010 of 24,941 ordinary shares of 1.6187p each  issued at a price of 79.5p
per  share pursuant  to the  Offers for  Subscription that opened on 16 November
2009.

Application for the Shares to be admitted to the Official List of the UK Listing
Authority  and  to  trading  on  the  London  Stock Exchange's market for listed
securities will be made at the earliest practical opportunity.

The Offer for Subscription is now closed.
