In conformity with the Disclosure and Transparency Rule 5.6.1, ProVen Growth &
Income VCT plc announces the following:

The Company's capital at 31 May 2010 consisted of:
24,604,781 Ordinary shares of 1.6187 pence each and
8,098,619 'D' ordinary shares of 1 pence each.

The Company does not hold any shares in treasury.

Therefore the total number of voting rights in ProVen Growth & Income VCT plc is
32,703,400.

The above figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, ProVen Growth & Income VCT plc
under the FSA's Disclosure and Transparency Rules.
