Retirement of Chief Administrative Officer

 

Public Policy Holding Company, Inc., the government relations and public affairs group providing clients with a fully integrated and comprehensive range of services, announces that William ("Bill") Chess has made the decision to retire from his full-time executive career and, therefore, as Chief Administrative Officer of the Group. He will remain on the Board as a Non-Executive Director and in an advisory capacity as a strategic consultant, with Group executives continuing to draw on his experience as a Group co-founder and its Chief Financial Officer from 2014 to July 2023.

Shares owned by Mr. Chess at the time of the IPO vested with effect as of 1 July 2024, however, the transfer restrictions in line with his Executive Employment Agreement will remain in place. Long-Term Incentive Program ("LTIP") Awards that Mr. Chess has earned since the LTIP plan was adopted vested with effect as of 1 July 2024, including 50,000 Option Awards, 100,000 Restricted Stock Units, and 17,438 Restricted Stock Awards. Mr. Chess is considered a related party under the AIM rules and the directors consider, having consulted with its nominated adviser, that the terms of the transaction are fair and reasonable insofar as its shareholders are concerned.

Following this issue of shares, the Company's total issued and voting share capital upon admission will consist of 119,871,310 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
