EES Trustees International Limited as Trustee of the QinetiQ Group plc Employee Benefit Trust ("EBT") purchased a total of 1,983,544 ordinary shares (representing 0.3% of the Company's issued ordinary share capital) between 19 and 23 September 2011 at an average price of 115.36p per share.

The Executive Directors of QinetiQ Group plc, Leo Quinn and David Mellors, are included as potential beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof.

Following this transaction, the EBT holds 10,340,346 ordinary shares in the Company, representing 1.57% of the Company's issued ordinary share capital.

The transactions took place in the United Kingdom.
