NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The notifications listed below were received under Paragraph 3.1.2 of the
Disclosure Rules and, in respect of directors of QinetiQ Group plc only, Section
324 of the Companies Act 1985.

QinetiQ Group plc (the 'Company') announces that:
     
1.   It received notification on 15 February 2006 of the following disposals of 
     ordinary shares of 1 penny each in the Company ('Ordinary Shares') at a 
     price per share of £2.00:

     (i)  from the following director of the Company:

     of Ordinary Shares under the QinetiQ Group plc Share Incentive Plan (the 
     'SIP'), namely:

     (i)  the following directors of the Company were allocated Ordinary Shares 
          on 15 February 2006 under the SIP, by Hill Samuel ESOP Trustees 
          Limited as trustee of the SIP (the 'SIP Trustee'):

The Ordinary Shares allocated consist of shares awarded to the employee by the
Company ('Free Shares').

The Free Shares were awarded at a price per share of £2.00.

The Ordinary Shares are held by the SIP Trustee in the name of the SIP Trustee.
Free Shares cannot normally be disposed of for a period of three years after the
award date.

As a result of the above, interests of directors and PDMRs in the Company's
Ordinary Shares (excluding options and interests as potential beneficiaries of
the Company's employee benefit trusts) are as follows:
