Update Statement on 2023 AGM Voting Results

At its 2023 AGM, the Company received more than 20% votes against resolution eight to approve the re-election of its Group Chair Neil Johnson.
The Company has approached a number of shareholders that voted against resolution eight to understand their voting decisions. Those that engaged with the Company confirmed that votes against were due to concerns about the number of external board mandates held by Neil, and the Company not having appointed at least one member of the Board from a minority ethnic background.
In July 2023, as part of a planned succession, Neil resigned as Chair of Unbound Group plc, which reduced the number of external board mandates held. The Company also remains focussed on its objective to achieve and maintain targets on Gender and Ethnic Diversity on the Board, which has included recent changes in its Board composition that support those targets. The Company will provide further information on its progress towards gender and ethnicity targets in its FY24 Annual Report and Accounts.
