BRAINSPARK PLC ('Brainspark' or 'the Company')
Further re Discussions
Further to the announcement on 22nd November, 2001, that Brainspark was at an
advanced stage of discussions with another interested party, which might or
might not lead to an offer being made for the Company, the board announces
that these discussions have now ceased.
In pursuance of their policy of maximising shareholder value, the directors
have resolved to seek the restructuring of the Company. This is designed to
distribute Brainspark's net assets to shareholders in the most efficient way.
With this in mind, the Directors have taken immediate steps to reduce the
Company's overheads. Stewart Dodd and Noah Freedman, Chief Executive
Officer and Chief Technical Officer respectively, have offered to relinquish
their executive duties and continue as directors in an unremunerated
non-executive capacity. The Board has accepted their change of status with
effect from the close of business on 30th November, 2001.
A further announcement will be made in due course.
