Long Term Incentive Plan ("LTIP") and Grant of awards under LTIP
RA International Group PLC (AIM: RAI), a specialist provider of complex and integrated remote site services to Humanitarian, Governmental and Commercial organisations globally, is pleased to announce the establishment of a new LTIP and the grant of awards under the LTIP for existing executive directors and senior management.
The following table sets out the number of options granted under the LTIP Plan on 10th May 2021 in the following quantities to the following executive directors and other persons discharging managerial responsibilities ("PDMR"):

The key terms of the LTIP are summarised below:
· Eligible participants have been granted performance share awards in the form of nominal value options at the discretion of the Remuneration Committee.
· Awards granted to participants will be subject to a 2-year holding period.
· Options may only ever be exercised over Vested Option Shares pursuant to the terms of the LTIP. The options are subject to a three year vesting period and performance conditions based on total shareholder return, underlying EBITDA and Environmental, Social and Governance ("ESG") criteria, with vesting usually occurring once performance conditions are met.
· Earlier vesting of options could occur if the option holder ceased employment on good leaver terms as detailed within the LTIP or if the Remuneration Committee considered it appropriate, on the occurrence of a change of control or other major corporate event.
· It is envisaged that the awards will be settled in shares.
· The aggregate market value of shares over which an award may be made to any one employee (including any executive director) within the Group on an annual basis shall not exceed 150% of such employee's base salary.
