Early Exercise of Warrants and Total Voting Rights
London, England - Newfoundland and Labrador, Canada - Rambler Metals and Mining plc (AIM: RMM) ("Rambler" or the "Company"), a copper and gold producer, explorer, and developer, announces that it has received notification from West Face Long Term Opportunities Limited Partnership ("West Face") to an early exercise of its 8,131,810 warrants over ordinary shares in the Company. As disclosed in the Company's financing and operations update on 30 June 2021, the exercise price of the 5 year warrants is 14 pence if West Face exercises part or all of its warrants before 31 December 2021. The consideration of CAD$1,965,995.18, equivalent to £1,138,453.40 based on the exchange rate of CAD$1.7269/£, is expected to be received today. Following this exercise, West Face does not hold any further warrants in the Company.
The 8,131,810 new ordinary shares arising from the exercise of these warrants ("Warrant Shares") will shortly be issued, and application has been made for them to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings will commence at 8:00a.m. on or around 15 July 2021.
Following Admission, the Company will have 117,021,588 ordinary shares of £ 0.01 each in issue, none of which are held in treasury. Therefore, the total number of voting rights in the Company is 117,021,588 .
The above figure of 117,021,588 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.

Rambler is a mining and development company that in November 2012 brought its first mine into commercial production. Rambler has a 100 per cent ownership in the Ming Copper-Gold Mine, a fully operational base and precious metals processing facility and year-round bulk storage and shipping facility; all located on the Baie Verte peninsula, Newfoundland and Labrador, Canada.
Rambler's focus is to regain its production profile at 1,350 metric tonnes per day at 2% Cu in the course of 2021 and evaluate expansion opportunities from that base.
