Holdings in Company
London, England & Baie Verte, Newfoundland and Labrador, Canada - Rambler Metals and Mining plc (TSXV: RAB, AIM: RMM) ('Rambler' or the 'Company') has been notifed that CE Mining II Rambler Limited has acquired the following interests in the Company:
(i) 261,363,636 new Ordinary Shares, representing 63.1 per cent of the total (a) share capital and (b) voting rights in the Company; and
(ii) warrants to subscribe for an additional 200,000,000 new Ordinary Shares for an aggregate exercise price of £10 million, such that following the exercise of the Warrants in full, it will hold, in aggregate, 461,363,636 Ordinary Shares, representing 75.1 per cent of the total (a) share capital and (b) voting rights in the Company.
CE Mining II Rambler Limited is an exempted company registered in the Cayman Islands with its registered office at c/o Mourant Ozannes Corporate Services (Cayman) Limited, 94 Solaris Avenue, Camana Bay, PO Box 1348, Grand Cayman KY1-1108, Cayman Islands. It is 100 per cent owned by CE Mining GP II Limited, an exempted company registered in the Cayman Islands with its registered office at c/o Mourant Ozannes Corporate Services (Cayman) Limited, 94 Solaris Avenue, Camana Bay, PO Box 1348, Grand Cayman KY1-1108, Cayman Islands on behalf of CE Mining Fund II L.P., a Cayman Islands exempted limited partnership with its registered office at c/o Mourant Ozannes Corporate Services (Cayman) Limited, 94 Solaris Avenue, Camana Bay, PO Box 1348, Grand Cayman KY1-1108, Cayman Islands.
The above interests represent the total interest of CE Mining II Rambler Limited and its group in the Company.
