                             ANNUAL GENERAL MEETING

At the Annual General Meeting of the Company held earlier today, all the
resolutions proposed (and which were contained in the notice of meeting dated 5
March 2003) were passed.

A number of Board changes were confirmed. As previously announced, Micky Ingall
has stood down from his role as Chairman and retired from the Board. He has been
replaced as Chairman by Mark Powell, previously Managing Director and Deputy
Chairman. Additionally, Mark Leather, who heads up Rathbones' investment
management activities in Liverpool, has announced his retirement on 31 December
2003.

Commenting on his retirement, Micky Ingall said, 'It has been a great pleasure
working with my colleagues and friends at Rathbones. I am delighted that during
my tenure as Chairman, the company has continued to grow its investment
management and trust activities. The difficult financial climate of the last
three years has underlined the merits of discretionary investment management for
private investors. I have every confidence that under the Chairmanship of Mark
Powell the company will continue to prosper for the good of its clients, staff
and shareholders'.

Mark Powell, incoming Chairman, thanked Micky Ingall on behalf of the Board,
staff and shareholders of Rathbones for his leadership and dedication. 'We will
all miss Micky's thoughtful commitment to our businesses' he said. 'Since I
joined Rathbones in 1995 I have greatly respected Micky's understanding and
natural feel for our business and his strong commitment to private client
investment management, in particular. All of his friends and colleagues at
Rathbones wish him a long and very happy retirement'.

'Additionally, I would like to thank Mark Leather, who has announced his
intention to retire at the end of the year. Mark joined Rathbones in 1992 and
has made a very real contribution to the development of our investment
management activities. Our best wishes for a happy retirement go with him'.
