Directors' shareholding

Investec Trustees (Jersey) Limited (the "Trustee") as Trustee of The Rathbone Brothers Plc Settlement has notified the company that on 28 September 2010 it purchased 70,000 Rathbone Brothers Plc ordinary shares of 5p ("ordinary shares") at £8.50 representing 0.16% of the issued share capital of the Company. The shares are registered in the name of Chase Nominees Limited. Following this transaction, the Trustee holds a total of 112,693 ordinary shares (0.26% of the issued share capital) to meet future long term incentive plan and deferred share awards.
