Notification of a share transaction by a Director and Person Discharging Managerial Responsibility ('PDMR')

On 8 May 2009, Andy Pomfret, a director and PDMR, exercised options over 50,000 Rathbone Brothers Plc Ordinary Shares of 5p at £8.1417 granted under the Rathbone Employee Share Option Schemes 1993 and 1996. The market value at exercise was £8.805 being the closing mid-market price on 7 May 2009. The shares allotted were registered in the name of Rathbone Nominees Limited. 

Following this option exercise, 50,000 shares were sold at £8.86. His holding therefore remains unchanged at 90,943 shares (0.211% of the issued share capital).
