On 26 September 2011, the following directors were awarded deferred awards of Rathbone Brothers Plc ordinary shares in respect of the interim profit share award for 2011. Shares were awarded at £10.496 being the average of the closing mid-market share price during the 20 business days prior to 26 September 2011.

Ordinarily, deferred share awards will vest on the third anniversary of the end of the financial year (31 December 2014). Vesting is not subject to the satisfaction of performance conditions but all or part of an award may lapse in certain circumstances, for example in the event of the director being considered a 'bad leaver'.
