ORDINARY SHARES OF 5P
NOTIFICATION OF MAJOR INTEREST IN SHARES
On 5 April 2002, Rathbone Brothers Plc ('the Company') was notified by Caledonia
Financial Limited in accordance with Sections 198 to 208 of the Companies Act
1985. As a result of share issues by the Company on 3 April 2002, Caledonia
Financial Limited's beneficial holding of 4,432,199 ordinary shares of 5p now
represents 11.73% of the issued shares of that class.
By virtue of the provisions of Section 203 of the Companies Act 1985, Caledonia
Investments plc, of which Caledonia Financial Limited is a wholly owned
subsidiary, and the Cayzer Trust Company Limited, a substantial shareholder in
Caledonia Investments plc, are also deemed to be interested in the above
mentioned shares.
