Completion of acquisition of Northern & Shell's UK publishing assets and month end total voting rights

Following the announcement yesterday regarding the Admission of 25,826,746 new ordinary shares of 10p each (the "Consideration Shares"), Trinity Mirror plc ("Trinity Mirror") is pleased to confirm that it has completed the acquisition of 100% of the equity in Northern & Shell Network Limited for total consideration of £121.7 million. The acquisition of the 50% equity interest in Independent Star Limited for £4.5 million and 100% of the equity in International Distribution 2018 Limited for £0.5 million are subject to clearance by the competition authorities in the Republic of Ireland; it is expected that, if clearance is obtained, these acquisitions will occur in the second half of 2018.

Together with the Consideration Shares, the Northern & Shell Media Group Limited has received initial cash consideration of £42.7 million.

Following the issuance of the Consideration Shares, Trinity Mirror confirms that, on 28 February 2018, its issued share capital consisted of 309,286,317 Ordinary Shares with a nominal value of 10 pence and carrying one vote each. On that date, Trinity Mirror held 10,017,620 shares in Treasury and therefore, the total voting rights in Trinity Mirror on that date was 299,268,697.

Defined terms that are not defined in this announcement shall have the same meaning given to them in the Circular relating to the Company dated 9 February 2018.
