REPLACEMENT RNS:

The following amendment has been made to the Director/PDMR Shareholdings announcement released on 8 May 2017 at 18.15 hrs under RNS No 5213E.

The announcement noted above incorrectly stated Mr Frederic Larmuseau's resultant shareholding in 3. following the transactions outlined in 1. and 2. as 185,557 Shares, comprising 0.0264% of the issued share capital. The correct amount was 183,216 Shares, comprising 0.0261%.

All other details remain unchanged.

 DIRECTOR/PDMR SHAREHOLDINGS

Reckitt Benckiser Group plc (the "Company" or "RB") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMR") in ordinary shares of 10 pence each in the share capital of the Company ("Shares").

1. Vesting and Release of Restricted Share Awards

Following the assessment of the Compound Average Annual Growth in EPS performance condition over the three year period ended 31 December 2016 and confirmation of full vesting of awards at the Company's Annual General Meeting held on 4 May 2017, the following awards made under the Reckitt Benckiser Group 2007 Long-Term Incentive Plan vested and Shares were released on 5 May 2017:

A further 32,665 Shares were disposed of by Mr de Groot on 5 May 2017 at £71.4983 and a further 6,026 Shares by Mr Stein on 8 May 2017 at £71.80 per share.

2. Option Exercise and Sale of Shares

On 8 May 2017, Darrell Stein exercised a total of 46,254 share options granted on 1 September 2014 and disposed of all the resulting Shares at £71.7308. 45,681 options were granted at an option exercise price of £50.81 and 573 options were granted at an option exercise price of £52.25 per share.
