(SCI) of 62,543 new ordinary shares of 1p each fully paid up as to nominal value. The issue of shares to SCI shall be made on 19 February 2007 in final satisfaction of the Company's obligations under a subscription and share exchange agreement between, inter alia, the Company and SCI dated 5 July 2005 (as amended). No further shares are due to be issued to SCI pursuant to such agreement.
