                   Directors' Shareholding

The  Company was informed on 4 July 2000 that Messrs. Perrin
and  Cavill,  both  directors  of  the  Company,  have  each
exercised their option to acquire 25,000 ordinary shares  of
12.5p each in the Company ('Ordinary Shares') at a price  of
40p per Ordinary Share.

Following  this exercise of options the beneficial interests
of  the above directors in the Ordinary Share capital are as
follows:
