1) 2006 LTIP 2nd Plan Cycle commencing 1 July 08

The Company announces that on 22 October 2008, conditional awards over ordinary shares of 25p each in Ricardo plc were granted under the Ricardo 2006 Long Term Incentive Plan to the following directors and PDMRs, as set out below. The awards vest after three years and are subject to TSR and EPS performance conditions.

2) Share Options under the 2004 Executive Share Option Scheme

The Company announces that on 22 October 2008, share options over ordinary shares of 25p each in Ricardo plc were granted under the Ricardo 2004 Executive Share Option Scheme to the following director and PDMRs, as set out below. The options vest after three years and are subject to EPS performance conditions. The exercise price for the options was fixed at the date of grant, and is 305p.

No amount was paid by the PDMRs in respect of the grant of the option.

3) Deferred Bonus Plan awards

The Company announces that on 22 October 2008, conditional awards over ordinary shares of 25p each in Ricardo plc were granted under the Ricardo plc Deferred Bonus Plan to the following directors and PDMRs, as set out below. Subject to continuing employment, the awards vest after three years, except in the case of Steve Parker, for whom the award vests after two years. Awards are not subject to performance conditions.
