We wish to advise you that The Rio Tinto Employee Share Ownership Trust (a 
trust for the benefit of Rio Tinto group employees) transferred 67,436 shares 
to certain employees on 12 February 2001.  Prior to 12 February 2001 the trust
held 329,609 Rio Tinto shares.

The following directors are now interested in 262,173 shares held by the trust
by virtue of their interest as potential beneficiaries of the trust:

Sir Robert Wilson
Mr R Adams
Mr C R H Bull
Mr J C A Leslie

None of the shares mentioned above were transferred to any of the directors.
