Lord Rothschild, a director of RIT Capital Partners plc ('RITCP'), today
advised the Company that on 20 December 2001 74,170 RITCP ordinary shares have
been transferred from a disclosable beneficial interest to a non-disclosable
non-beneficial interest at a price of £4.045 per share.

Following the above-mentioned transfer, Lord Rothschild's interests in RITCP
ordinary shares is as follows:

19,015,080 shares with a beneficial interest

6,439,934 shares with a non-beneficial interest
