NewMedia SPARK plc announces changes in notifiable interests
In accordance with Section 324 of the Companies Act 1985, NewMedia Spark plc
('the Company') today announces that following the solvent liquidation of
Glasshouse Associates Limited ('Glasshouse'), the holder of 21,450,945 shares in
the Company, the notifiable interests of two of the directors of the Company
have changed.
Mr Thomas Teichman beneficially owns 52.91% of the share capital of Glasshouse
and, therefore, as the controlling shareholder of Glasshouse, he was previously
deemed to be interested in Glasshouse's entire shareholding in the Company. Mr
Andrew Carruthers beneficially owns 10.52% of Glasshouse.
Upon distribution of the assets of Glasshouse, Trustees for Mr Thomas Teichman
will receive 11,349,138 shares in the Company and Trustees for Mr Andrew
Carruthers will receive 2,257,240 shares.
After this transaction, Mr Thomas Teichman's total beneficial ownership in the
shares of the Company will be 14,229,138 (3.01% of the issued share capital) and
Mr Andrew Carruthers' total beneficial ownership in the shares of the Company
will be 5,057,240 (1.07% of the issued share capital).
