NOTIFICATION OF CHANGE IN SHAREHOLDING OF SUBSTANTIAL SHAREHOLDERS

The Company received notification on 6 December 2001 in accordance with the
Companies Act 1985 (as amended) that CGNU plc and Morley Fund Management (a
subsidiary of CGNU plc) have a notifiable interest in 13,124,871 ordinary
shares of 10p each of the Company ('shares') which represents 3.02% of the
total issued share capital of the Company.
