Annual General Meeting

Schroder Income Growth Fund plc (the "Company") announces that at the Annual General Meeting of the Company held at 31 Gresham Street, London EC2V 7QA at 11.30 a.m. on Monday, 13 December 2010, Resolutions numbered 1 to 12, as set out in the Notice of Meeting, were duly passed.

These resolutions included ordinary resolutions to (i) approve the continuation of the Company as an investment trust for a further five year period; and (ii) to amend the Company's investment policy to allow up to 20% of its portfolio to be invested in equities listed on recognised exchanges outside the UK (with the potential to hedge the associated currency exposure) and the writing of short-dated call options on the holdings in the portfolio to generate up to20% of total income.
