                          Completion of Acquisition

Schroders plc announces that the acquisition of Beaumont Capital Management
Limited ('Beaumont') is expected to be completed on Tuesday 4th December 2001.

Schroders plc will be issuing an initial 2,068,757 non-voting ordinary shares
as part consideration for the acquisition of Beaumont and application has been
made to the UK Listing Authority for the admission of the shares to the
Official List.

It is expected that dealings in the new shares will commence on Wednesday 5th
December 2001.
