Schroders plc

The following notifications made under Article 19(1) of the Market Abuse Regulation ("MAR") relate to transactions in Schroders plc shares undertaken in connection with the execution of the will of the late Bruno Schroder. These transactions are the transfer of interests in shares previously owned personally by Bruno Schroder to his daughter Leonie Schroder (a non-executive director of Schroders plc) and to her children. The total number of shares subject to these transactions are 6,353,655 ordinary shares and 59,310 non-voting ordinary shares. This announcement is made in accordance with Article 19(3) of MAR.

Certain of these shares were then transferred on to Leonie Schroder as part of the execution of the estate, as set out in "Transaction 2" notified below.
