This announcement replaces announcement number 4850J issued at 15.46pm on 8
March 2005 and corrects a typographical error in that announcement. Richard
Horlick's ECP grant is over 266,600 shares representing 0.38% of the issued
class and not 226,600 shares (representing 0.32%) as stated in yesterday's
announcement. The corrected announcement follows:

In compliance with Section 329 of the Companies Act 1985 and Chapter 16,
paragraph 13 of the Listing Rules, we hereby notify you that on 7 March 2005
(the date of notification) the following directors of Schroders plc were granted
awards to acquire the numbers of non-voting ordinary shares in Schroders plc set
out below under the Rules of the Company's Equity Compensation Plan (ECP) and
the Share Option Plan:

The awards under the Option Plan were granted at a price of £7.09 per share and
are subject to a performance condition, and are exercisable from 7 March 2008 to
6 March 2015.
Awards under the Equity Compensation Plan are granted for no consideration. They
do not give rise to any immediate entitlement and are at risk of forfeiture in
whole or in part before the fifth anniversary of grant.
