In accordance with Section 198 of the Companies Act 1985 and Chapter 9,
paragraph 11 of the Listing Rules, we hereby inform you that the Company
yesterday received the following notification in relation to interests in the
ordinary shares of Schroders plc:


The shareholdings of ordinary shares in Schroders plc held by Vincitas Limited
and Veritas Limited, which respectively hold interests in the Company as
trustees of certain settlements made by members of the Schroder family, have
changed as follows:


Vincitas Limited      increased from the previously notified figure of
46,272,073 ordinary shares, representing 20.47 per cent. of the issued share
capital, to 62,341,233 ordinary shares, representing 27.58 per cent. of the
issued share capital, an increase of 7.11 per cent. of the issued share capital.


Veritas Limited     increased from the previously notified figure of 29,777,101
ordinary shares, representing 13.17 per cent. of the issued share capital, to
37,308,464 ordinary shares, representing 16.51 per cent. of the issued share
capital, an increase of 3.34 per cent. of the issued share capital.




The Company was at the same time notified that Englehall Limited and
One-Forty-Five Limited have ceased to have notifiable shareholdings of ordinary
shares in Schroders plc (the previously notified holdings were: 10,375,504
ordinary shares and 13,754,311 ordinary shares representing 4.59 per cent. and
6.08 per cent. respectively of the issued share capital.)
