Paragraph 11 of the Listing Rules, we hereby inform you that the Company was
notified on 10 September 2004 by FMR Corp. and Fidelity International Limited
that following a purchase of ordinary shares of Schroders plc it now has an
interest in 9,162,048 ordinary shares, representing 4.05% of the issued ordinary
share capital of Schroders plc, and that consequently FMR Corp. and Fidelity
International Limited and/or its subsidiaries have a notifiable interest in the
Company's ordinary shares.
