In complying with the Transparency Directive's transitional provision 6 we would
like to notify the market of the following:

As at the close of business on 19 December, Schroders plc's issued share capital
consisted of 226,022,400 ordinary shares and 67,807,473 ordinary non-voting
shares.  Schroders plc does not hold any shares in Treasury.

The total number of voting rights in Schroders plc is 226,022,400.  This figure
may be used by shareholders as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change to their interest in, Schroders plc under the FSA's Disclosure and
Transparency Rules.
