Scotgold Resources Limited ("Scotgold" or the "Company")

SCOTGOLD RESOURCES LIMITED - NON RENOUNCEABLE RIGHTS ISSUE

We confirm that the Company's Non Renounceable Rights issue announced on 17 September 2010 has closed and that 29,133,284 Shares were allotted on 11 November 2010 to raise a total of $1,019,665.  Furthermore, 14,566,586 free attaching options were issued in accordance with the offer.  Quotation is sought for these shares and options.

The issued capital of the company following the allotment of shares and issue of options is as follows :
