PDMR / Directors' Holdings

Scotgold Resources Limited ("Scotgold" or "the Company") (ASX:SGX) (AIM:SGZ) has today been informed of changes to two of its Non-executive Directors', Messrs Shane Sadleir and Phillip Jackson, holdings in the Company's ordinary shares.

On 30 March 2013 Mr Phillip Jackson sold 437,500 ordinary shares to Mr Shane Sadleir in an off market transaction for an aggregate consideration of AUS$15,312.50 or 3.5 Australian dollar cents per share.  Following this disposal Mr Jackson's holding in Scotgold is 750,000 ordinary shares representing 0.04 per cent. of the Company's issued share capital.  Mr Jackson's holding is held directly and through Holihox Pty Ltd.

Scotgold has also been informed that on 30 March 2013 Mr Shane Sadleir disposed of 75,000 ordinary shares for an aggregate consideration of AUS$3,000 or 4 Australian dollar cents per share.  Following both the acquisition and the disposal Mr Sadleir's holding in Scotgold is 14,965,981 shares representing 7.07 per cent. of the Company's issued share capital.  Mr Sadleir's holding is held directly and through Mineral Products Holdings Pty Ltd.
