SCIENTIFIC DIGITAL IMAGING PLC
Result of General Meeting
Scientific Digital Imaging plc (AIM: SDI, "SDI" or the "Company") the AIM quoted group focused on the application of digital imaging technology for use in life sciences, healthcare, astronomy, and art conservation, announced on 15 January 2015 that it had conditionally raised approximately £0.5 million (before expenses) through a placing of 5,135,000 new ordinary shares of 1p each ("Placing Shares") (the "Equity Fundraising"). The issue of the Placing Shares was conditional, inter alia, on shareholder approval at a General Meeting. The Company is pleased to announce that at the General Meeting of its shareholders held today all resolutions were passed.
Application has been made to the London Stock Exchange for the Placing Shares to be admitted to trading on AIM and it is expected that Admission will be effective, and dealings will commence in respect of the Placing Shares to be issued pursuant to the placing at 8:00 a.m. on 10 February 2015.
The number of ordinary shares in the Company in issue following the Equity Fundraising will be 32,912,308. There are no ordinary shares held in treasury. The above figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
