Voting Rights and Capital

In conformity with the Transparency Directive's transitional provision 6,
Senior plc ('the Company') confirms that the Company's capital consists of
389,939,582 Ordinary 10p shares with voting rights.  No Ordinary shares are held
in treasury.

The above figure (389,939,582) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change in their interest in, the Company under the FSA's
Disclosure and Transparency Rules.
