Poundfield Deferred Consideration
SigmaRoc plc, the AIM quoted buy-and-build construction materials group, is pleased to announce that it has issued 1,976,888 new ordinary shares of 1p each in the Company ('Ordinary Shares') to the vendor of Poundfield Products (Group) Limited as satisfaction of the £750,000 deferred consideration (the 'Poundfield Shares'). The Poundfield Shares will be subject to a lock-in until 19 December 2019.
Application will be made for the Poundfield Shares to be admitted to trading on the AIM market of the London Stock Exchange ('Admission'). Admission is expected to occur on or around 7 February 2019.
Following Admission, the total issued share capital of the Company will consist of 173,817,546 Ordinary Shares with voting rights. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company shall be 173,817,546 and this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
