Directorate Change and Issue of Warrants

Coms plc announces that Richard Bennett, Executive Director, has stepped down from the board with immediate effect having completed handover of duties to the new CEO David Breith.

The directors have today, conditional on shareholders' approval being obtained in general meeting, issued Richard Bennett 5,000,000 warrants to subscribe for new ordinary shares of 0.1 pence each ("Ordinary Shares") in the Company at a price of 0.75 pence per share. The warrants will when unconditional be exercised at any time until 18 January 2016 and are not subject to any performance or other conditions. The Company will seek shareholders' approval to the grant of the Warrants at the next general meeting which it convenes, which is expected to occur in the first quarter of 2013.

Prior to the grant of the Warrants, Richard Bennett  held interests in 3,368,334 Ordinary Shares, representing 1.05 per cent of the current issued ordinary share capital of Coms, and following the grant of the Warrants is interested in a total of 8,368,334 Ordinary Shares and rights to subscribe for 5,000,000, representing in aggregate 2.61 per cent. Of the Company's total issued ordinary share capital.

Says Bennett: "I've enjoyed my time at Coms. I feel that the Company is now heading in the right direction and that I am leaving it in very capable hands.  I am now embarking on an exciting new challenge in the clean technology sector to which I am very much looking forward."

Says Dave Breith: "On behalf of Coms I would like to thank Richard for his many years contribution to the Company as director. I know he is very excited about launching his next opportunity and we wish him every success for the future. We are in discussions with a number of good candidates to join the board particularly in a non-executive capacity and I look forward to making further announcements on this matter in due course."
