of Smith & Nephew plc, acquired on 14 August, 3,637 ordinary
shares of 12 2/9 pence each at 269.25 pence per share.  Sir
Brian Pearse now has an interest in 20,000 ordinary shares
of the Company (0.002% of the issued ordinary share capital).
