DIRECTOR DECLARATION

LISTING RULE 9.6.13 R

As previously announced, Mr Philip Bowman is today appointed as an executive
director of Smiths Group plc and as the Chief Executive of the Company.  Mr
Keith Butler-Wheelhouse retires today as a director and as Chief Executive of
the Company.  The Company reports that Mr Bowman is currently a director of
Scottish & Newcastle plc and Burberry Group plc and, during the past five years,
has been a director of British Sky Broadcasting Group plc, a publicly-quoted
company, and Allied Domecq Limited and Scottish Power Limited (which were
publicly-quoted companies during Mr Bowman's period in office).



There is no other information which requires disclosure under paragraphs (2) to
(6) of Listing Rule 9.6.13 R.
