NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY (PDMRs) PURSUANT TO DTR 3.1.4R(1)(a)

AWARD UNDER THE SMITHS GROUP LONG TERM INCENTIVE PLAN 2015 ('LTIP')

On 25 January 2016 the Company granted an exceptional, additional conditional share award under LTIP over 6,883 ordinary shares in the Company ('Shares') to Mr S.C. Beelsey (a PDMR). The award will be dependent on the Company's achievements in relation to four separate performance conditions over a three-year performance period, namely: (a) revenue growth; (b) growth in earnings per share; (c) cash conversion; and (d) return on capital employed. (The number of Shares stated being the maximum available on full vesting under all four performance conditions).

This award is in addition to the award granted to Mr Beesley on 26 November 2015 and is subject to the same performance conditions and performance period.
