SMITHS GROUP RESTRUCTURES CORPORATE & DIVISIONAL HEADQUARTERS
SMITHS GROUP plc ('Smiths'), the global technology company, today announced a number of changes to its corporate centre and divisional headquarters structure to be implemented progressively over the remainder of the calendar year.
To improve customer focus and reduce cost, the Smiths operating divisions will be managed from divisional headquarters that will be relocated from Finchley Road. Smiths Medical will be headquartered at its St Paul, Minnesota facility, whilst Smiths Detection will be based alongside its major UK operation in Watford.
From 1 August 2008, the Smiths Specialty Engineering division will be disbanded. John Crane, currently managed and operated as two separate units by teams in the UK and the US, will be unified under Paul Cox as president and will have its headquarters at the Morton Grove facility close to Chicago, Illinois. The other Specialty Engineering businesses, Smiths Interconnect and Flex-Tek, will continue to be run from their existing US locations. The presidents of all three businesses will report directly to the Group Chief Executive.
At the corporate centre approximately 65 positions will be eliminated from across locations in the UK, the US and the Netherlands. The future location of the corporate centre is also under review. It is anticipated that this review will be completed in a timeframe which allows possible changes to take effect around the end of 2008. Whilst there is no current intention to move the domicile of the Company from the UK, the Board is closely monitoring possible changes to UK tax legislation given the very high percentage of profits generated overseas following the disposal of Smiths Aerospace.
Details of the estimated financial costs and benefits of this restructuring will be announced when Smiths reports its full-year results on 24 September.
Philip Bowman, Smiths Group Chief Executive said: 'We have many opportunities to increase the value of the Company and have already commenced a number of initiatives to improve operating performance and margins. Building the business will be more effectively achieved through a focused divisional structure. The corporate centre will therefore be dedicated to a small number of core functions where it can add real value to our portfolio of businesses.
'In future, resources at the corporate centre will be focused on determining overall strategy, leveraging scale benefits across the businesses, monitoring the performance of each business and driving performance improvement, leadership and talent development, raising and allocating capital, communicating with stakeholders and enhancing the Group's reputation.'
