Results of Annual General Meeting

 

Resolutions passed at the Annual General Meeting

Smurfit Kappa Group plc ("SKG" or the "Company") announces that all resolutions put to the shareholders at the Annual General Meeting of the Company held on 1 May 2015 were passed.  These resolutions are as set out the Notice of the Annual General Meeting which was posted to shareholders on 27 March 2015 and which is available on SKG's website www.smurfitkappa.com.

SKG confirms that the following resolutions (Resolutions 7, 8 and 9 in the Notice of AGM), which constitute special business, were passed:

 

·     Renewal of the dis-application of statutory pre-emption rights in respect of the allotment of shares for cash up to an aggregate nominal value equal to 5% of SKG's total issued ordinary share capital;

 

·     Renewal of the authority to make market purchases of the Company's own shares up to a maximum of 10% of the number of SKG's total issued ordinary shares;

 

·     Renewal of the authority to convene an extraordinary general meeting of shareholders of SKG on not less than 14 clear days' notice, where the purpose of the meeting is to consider an ordinary resolution.

 

The Company also advises that copies of the above resolutions have been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/NSM.
